Please read these Terms and Conditions ("Terms") carefully before using SpeakNest. They explain the rules for using our website, platform, and language-learning Services, including how accounts, purchases, cancellations, and refunds work.

1. Agreement to Our Terms
In ShortBy creating an account or using SpeakNest, you agree to be bound by these Terms and our Privacy Policy.
These Terms form a legally binding agreement between you and SpeakNest LLC ("SpeakNest", "we", "us", or "our") governing your access to and use of our website at https://speaknest.info/, our platform, applications, and language-learning services (collectively, the "Services").
By creating an account, booking a lesson, purchasing a course or package, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
Please also review our Privacy Policy, which explains how we collect, use, and protect your personal information.
2. Eligibility and Accounts
In ShortYou must be able to enter into a binding contract to create an account. If you're a minor, see Section 3 below.
You must be able to form a legally binding contract to create a SpeakNest account. If you are under 18, a parent or legal guardian must create and manage your account for you — see Section 3, Minors, Parental Consent, and Child Safety.
You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us promptly of any unauthorized use of your account
We may suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.
3. Minors, Parental Consent, and Child Safety
In ShortUsers under 18 must have a parent or legal guardian create and manage their account. Lessons involve live video, audio, and chat with a teacher, and parents are responsible for supervising their child's participation.
Users under the age of 18 must have a parent or legal guardian create and manage their account, purchase lesson packages on their behalf, and approve their use of the Services. By registering a minor, the parent or legal guardian agrees to these Terms on the minor's behalf and is fully responsible for the minor's use of the Services, including lesson scheduling, interactions with teachers, and compliance with these Terms.
Parents and legal guardians acknowledge that online lessons involve direct video, audio, and chat communication between a teacher and the minor. Supervising the minor's participation, at whatever level the parent or guardian considers appropriate, is the parent's or guardian's responsibility. SpeakNest does not provide supervision or monitoring of lessons beyond the functionality built into the Services, such as the lesson recordings described in Section 9.
Teachers are prohibited from engaging in any conduct that is inappropriate, abusive, harmful, or unsafe toward minors, including harassment, bullying, discriminatory language, or sexual, emotional, or physical misconduct of any kind. We may remove any teacher who violates these standards and may report suspected misconduct to the relevant authorities where appropriate.
If you believe a teacher has behaved inappropriately toward a minor, or that a child has used the Services inappropriately, please contact us immediately at support@speaknest.info.
4. Our Services
In ShortSpeakNest provides online language-learning services, including lessons, courses, homework, and progress tracking.
SpeakNest provides online language-learning Services, including:
- One-on-one and/or group lessons with SpeakNest teachers
- Structured courses and learning materials
- Placement tests, homework, and assessments
- Lesson scheduling and progress tracking
We may add, modify, or discontinue features of the Services at any time, and we may change, suspend, or update the Services without notice. We do not guarantee that any specific teacher, course, or feature will remain available indefinitely, and we are not liable for any inconvenience caused by such changes.
5. Teachers: Independent Contractor Relationship
In ShortSpeakNest connects students with independent teachers. Teachers are independent contractors, not employees or agents of SpeakNest, and we do not guarantee learning outcomes.
SpeakNest acts as a platform that connects students with independent teachers. Teachers are independent contractors and are not employees, agents, or representatives of SpeakNest. We do not control teaching methods, lesson content, curriculum, or instructional approach, and we are not responsible for the performance, conduct, or quality of the lessons a teacher provides.
While we take reasonable steps to select teachers and to enforce the conduct standards in Section 3, we do not guarantee the availability, continuity, qualifications, or performance of any particular teacher.
SpeakNest does not provide accredited schooling, certified educational programs, diplomas, or a standardized curriculum, and we do not guarantee any academic outcome, grade, test result, proficiency level, or measurable improvement. Results depend on many factors outside our control, including the student's own effort and engagement.
SpeakNest is not a medical, psychological, therapeutic, or special-education service provider, and we do not diagnose or treat learning disabilities or behavioral, emotional, or developmental needs. You are responsible for deciding whether our Services are suitable for a student with special needs.
6. Purchases, Pricing, and Payment
In ShortCourses and lesson packages are sold as one-time purchases at the price shown at checkout. Payment is processed by third-party payment providers.
SpeakNest Services are sold on a one-time purchase basis per course or lesson package, rather than as a recurring subscription, unless otherwise stated at checkout.
Prices are shown in the applicable currency at the time of purchase and may change at any time; a price change will not affect a purchase you have already made.
Payment is processed by third-party payment providers. SpeakNest does not store complete payment card details. By making a purchase, you authorize us (or our payment processor) to charge the payment method you provide.
You are responsible for any taxes, fees, or currency-conversion charges associated with your purchase.
7. Lesson Validity Period
In ShortPurchased lessons must be scheduled and completed within one (1) year of purchase. Unused lessons are forfeited after that, without a refund.
All purchased lessons must be scheduled and completed within one (1) year from the date of purchase. Once that year has passed, any unused lessons are forfeited, and no refund will be issued for them.
You may schedule, reschedule, change teachers, or cancel lessons at any time within this one-year period, subject to the cancellation policy in Section 8.
We encourage you to schedule your lessons promptly so you get the full benefit of your purchase. We are not responsible for reminding you of an approaching expiration date, although we may send a courtesy reminder at our discretion.
8. Cancellations, Rescheduling, and Refunds
In ShortYou may cancel or reschedule a booked lesson free of charge if you do so at least 2 hours before the scheduled start time. Lessons cancelled, rescheduled, or missed with less notice are marked as used.
To cancel or reschedule a booked lesson without losing it, notify us, or make the change through your account, at least 2 hours before the lesson's scheduled start time. Your lesson credit is preserved and you may reschedule to another available time at no additional cost.
If a lesson is cancelled, rescheduled, or missed (no-show) with less than 2 hours' notice, the lesson is marked as completed and the lesson credit is deducted. No refund or make-up session will be provided for that lesson, except where required by applicable law or where SpeakNest determines, at its discretion, that an exception is appropriate. This policy exists because the teacher has reserved that time for you, and a late cancellation or no-show prevents them from accepting another student in that slot.
If a student joins a lesson late, the lesson still ends at its originally scheduled time; the teacher is not obligated to extend it. If a student is more than 15 minutes late without prior notice, the teacher may treat the lesson as a no-show, and the lesson credit will be deducted.
Lessons cancelled by SpeakNest or by a teacher — for example, due to illness, an emergency, or a technical or platform issue — will never result in a loss of your lesson credit; you will be offered a reschedule at no additional cost.
If a teacher becomes permanently unavailable (for example, if they leave the platform), we will offer you the option to transfer your remaining lessons to another qualified teacher, or provide a refund for the unused lessons.
Purchased courses and lesson packages are otherwise non-refundable once purchased, except:
- Where required by applicable consumer-protection law, or
- Where SpeakNest determines, in its discretion, that a refund or credit is appropriate (for example, a service failure on our part).

9. Lesson Recordings
In ShortLessons may be recorded for quality, safety, and dispute-resolution purposes. Using the Services means you consent to this.
Lessons delivered through the Services may be recorded for quality assurance, safety, dispute-resolution, and learning-reinforcement purposes. By using the Services, you consent to such recordings. We create and store lesson recordings in accordance with our Privacy Policy.
You agree not to record a lesson yourself using third-party software without the other participant's explicit consent, where required by law.
10. Technical Responsibilities
In ShortYou're responsible for your own device, software, and internet connection needed to join lessons.
You are solely responsible for obtaining and maintaining the hardware, software, and internet connection needed to access the Services and join video lessons.
Problems caused by your own internet connection, device, or a power outage are not a technical issue on SpeakNest's part, and a lesson missed or cut short because of them will not qualify for a refund or a lesson credit under Section 8.
11. Acceptable Use
In ShortYou agree to use SpeakNest respectfully, lawfully, and only for its intended educational purpose, and not to interfere with or exploit the Services.
When using the Services, you agree not to:
- Violate any applicable law or regulation
- Harass, abuse, threaten, or intimidate teachers, staff, or other users
- Share your account with others or allow unauthorized access
- Copy, resell, sublicense, or redistribute course materials or lessons without our permission
- Attempt to disrupt, hack, decompile, or reverse-engineer the Services
- Use the Services for any purpose other than personal language learning
- Record lessons or communications without the consent of all participants, where required by law
- Systematically scrape or harvest data from the Services, including usernames or email addresses, without our written permission
- Use bots, scripts, or other automated means to access or interact with the Services, or create accounts under false pretenses
- Attempt to bypass, disable, or interfere with any security feature of the Services
- Impersonate another person, or use another user's account or identity
- Use the Services, or information obtained through them, to compete with SpeakNest or for any other commercial or revenue-generating purpose
- Upload or transmit viruses, malicious code, or spam, or otherwise interfere with the proper functioning of the Services
- Delete or alter any copyright, trademark, or other proprietary notice from the Services
We may suspend or terminate your access to the Services if we reasonably believe you have violated this section.
12. Non-Circumvention
In ShortYou agree not to go around SpeakNest to arrange or pay for lessons directly with a teacher or student you met through the platform.
SpeakNest brings students and teachers together, and that connection is a valuable part of our business. You agree not to circumvent the Services by soliciting, scheduling, or paying for lessons outside SpeakNest with any teacher or student you were introduced to through the Services.
You agree not to exchange personal contact information — such as phone numbers, personal email addresses, or social media profiles — with a teacher or student you met through SpeakNest with the intent of conducting business outside the Services.
Violating this section may result in immediate suspension of your account, forfeiture of pending payments or lesson credits, and liability for any damages caused to SpeakNest.
13. User Content
In ShortIf you submit content to us, such as homework or messages, you retain ownership but grant us the right to use it to provide our Services.
You may submit content to SpeakNest in the course of using the Services, such as homework submissions, messages to teachers or support, or feedback ("User Content"). You retain ownership of your User Content.
By submitting User Content, you grant SpeakNest a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content solely as necessary to provide, support, and improve the Services (for example, having a teacher review your homework).
You are responsible for ensuring that your User Content does not violate any law or infringe any third party's rights.
14. Intellectual Property Rights
In ShortSpeakNest owns its courses, materials, software, and branding. You may use them only for your personal learning.
The Services, including all course materials, lesson content, software, text, graphics, logos, and the SpeakNest name and marks, are owned by SpeakNest or its licensors and are protected by copyright, trademark, and other intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use the Services and course materials for your personal, non-commercial language-learning purposes. You may not copy, distribute, sell, or create derivative works from our materials without our prior written permission.
15. Third-Party Services and Links
In ShortSpeakNest may use or link to third-party services, such as payment processors and WhatsApp. We are not responsible for those third parties' practices.
The Services may integrate with or link to third-party services, including payment processors, authentication providers (such as Google), and communication platforms (such as WhatsApp). Your use of those third-party services is subject to their own terms and privacy policies. SpeakNest is not responsible for the content, accuracy, or practices of any third-party service, and we do not endorse any product or service offered by a third party through the Services.
16. Disclaimers
In ShortThe Services are provided "as is," without guarantees of specific learning outcomes or uninterrupted availability.
To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
SpeakNest does not guarantee any specific language-learning outcome, proficiency level, or result. Learning outcomes depend on many factors outside our control, including your own effort and engagement.
We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.
17. Limitation of Liability
In ShortTo the extent permitted by law, SpeakNest's liability to you is limited, and we are not liable for indirect or consequential damages.
To the fullest extent permitted by applicable law, SpeakNest and its officers, employees, teachers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Services.
To the extent permitted by applicable law, SpeakNest's total liability to you for any claim arising from these Terms or the Services will not exceed the amount you paid to SpeakNest in the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
18. Indemnification
In ShortYou agree to cover SpeakNest for losses caused by your misuse of the Services or violation of these Terms.
You agree to indemnify and hold harmless SpeakNest, its officers, employees, teachers, and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Services, or violation of any law or third party's rights.
19. Term and Termination
In ShortThese Terms apply for as long as you use the Services. We may suspend or terminate your account for violations of these Terms.
These Terms remain in effect for as long as you use the Services. You may stop using the Services and close your account at any time by contacting support@speaknest.info.
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, misused the Services, or engaged in fraudulent or unlawful activity.
Sections of these Terms that by their nature should survive termination — including Intellectual Property Rights, Disclaimers, Limitation of Liability, and Indemnification — will survive.
20. Governing Law

21. Dispute Resolution

Informal negotiations. If a dispute, controversy, or claim arises between you and SpeakNest relating to these Terms (a "Dispute"), please contact us first at support@speaknest.info. We ask that both sides make a good-faith effort to resolve the Dispute informally for at least thirty (30) days before starting a formal proceeding.
Arbitration. If a Dispute cannot be resolved informally, it will be resolved through binding arbitration on an individual basis administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in the State of Florida, rather than in court, except as set out below or where prohibited by applicable law.
No class actions. To the extent permitted by law, any arbitration or proceeding under these Terms will be limited to the Dispute between you and SpeakNest individually. Neither party may bring a Dispute as a class action, a consolidated action, or in a representative capacity on behalf of the general public or other users.
Exceptions. This section does not apply to disputes about the validity or enforcement of intellectual-property rights, allegations of theft, fraud, or unauthorized use, or claims for injunctive relief; these may be brought in a court of competent jurisdiction under Section 20.
Nothing in this section limits any right you have under applicable consumer-protection law that cannot be waived, including in your country of residence.
22. Electronic Communications and Signatures
In ShortCommunicating with SpeakNest electronically, and signing up or completing an order online, count as valid consent and signature under these Terms.
Visiting the Services, sending us emails, and completing forms online are electronic communications. You consent to receive communications from us electronically, and you agree that any agreement, notice, or disclosure we provide electronically satisfies any legal requirement that it be in writing.
You agree to the use of electronic signatures, contracts, orders, and records, and to electronic delivery of notices and records relating to transactions made through the Services, to the extent permitted by applicable law.
23. Miscellaneous
In ShortStandard legal terms — if part of these Terms isn't enforceable, the rest still applies, and we can update or transfer our rights under these Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SpeakNest regarding the Services.
If we don't enforce a right or provision of these Terms, that does not mean we waive it.
If any part of these Terms is found unlawful or unenforceable, that part is considered separable from the rest, and the remaining provisions stay in effect.
We may assign our rights and obligations under these Terms at any time; you may not assign yours without our consent.
We are not responsible for any delay or failure to act caused by circumstances beyond our reasonable control.
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and SpeakNest.
24. Changes to These Terms
